TERMS & CONDITIONS

Welcome to SWPR — the GCC's live commerce marketplace for collectibles, sneakers, trading card games, and luxury fashion. By accessing or using SWPR (the "Platform"), you agree to be bound by the following Terms & Conditions (this "Agreement"). This Agreement is between you ("you," "your," or "buyer") and SWPR Live Portal ("SWPR," "we," "us," or "our").

This Agreement includes any additional guidelines and policies we publish on the Platform ("Additional Terms"). In the event of any conflict between this Agreement and any Additional Terms, the Additional Terms shall prevail.

1. ACCEPTANCE OF TERMS

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement and the Additional Terms.

We reserve the right to deny or revoke access to the Platform at our discretion, with or without prior notice, particularly if we determine a violation of this Agreement has occurred.

If you do not agree to these Terms, you must not access or use the Platform.

2. ELIGIBILITY

To use SWPR, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)

• Have the legal capacity to enter into binding agreements

• Comply with applicable UAE and GCC laws, including UAE Consumer Protection Law

• Not be prohibited from receiving services under the laws of any applicable jurisdiction

We may suspend or terminate accounts that violate these eligibility requirements or that we reasonably believe are being operated in violation of applicable law.

3. USER ACCOUNTS

While certain portions of SWPR may be accessible without an account, you must register an account to access core features including bidding, purchasing, selling, and participating in livestreams.

By registering an account, you agree that:

• You are responsible for maintaining the confidentiality of your login credentials

• Any activity conducted on your account is your sole responsibility

• All information you provide must be accurate, current, and complete

• You will notify us immediately at support@swpr.live if you detect unauthorized access to your account

SWPR may verify your identity where required, including for seller onboarding, high-value transactions, or fraud prevention. We reserve the right to suspend or terminate accounts that contain false information or violate this Agreement.

4. AGE RESTRICTION

SWPR is strictly for users aged 18 and older. Users under the age of 18 are not permitted to access SWPR for buying, selling, or participating in auctions.

If an account is being created or managed on behalf of a minor, the account must be registered and owned by a parent or legal guardian (aged 18+). All financial details and payment accounts must be in the guardian's name, and explicit written parental permission must be submitted to support@swpr.live. Guardians are fully responsible for all account activities and must provide ongoing supervision.

SWPR does not independently verify user ages. By using SWPR, you confirm that you are 18 years or older, or that a qualified guardian has accepted responsibility for your use of the Platform.

5. LICENSE & PLATFORM USE

Subject to your compliance with this Agreement, SWPR grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for personal, non-commercial purposes.

You may not:

• Copy, modify, distribute, sell, or lease any part of the Platform or its content

• Reverse engineer, decompile, or attempt to extract source code

• Use automated tools (bots, scrapers, crawlers) to access or interact with the Platform without express written permission

• Use the Platform in any way that violates applicable UAE or GCC laws

We may suspend or revoke your license if we believe you are misusing the Platform or violating any provision of this Agreement.

6. USER-GENERATED CONTENT

SWPR enables users to post text, images, videos, and other materials, including content broadcast during live auctions and livestreams ("User Content"). By submitting User Content, you grant SWPR a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that content for the purposes of operating, promoting, and improving the Platform. This license survives even if you discontinue using the Platform.

You are solely responsible for all User Content you post, list, or stream. You must ensure all User Content:

• Does not infringe any intellectual property, trademark, or copyright rights

• Accurately represents the items you are listing or selling

• Complies with applicable UAE consumer protection and product safety regulations

• Complies with our Community Guidelines

We reserve the right to monitor, edit, or remove any content at our sole discretion, especially if it violates these Terms or applicable law.

7. INTELLECTUAL PROPERTY

All logos, trademarks, trade names, service marks, and other intellectual property related to SWPR are the exclusive property of SWPR Live Portal or its licensors. You may not use any of our branding or marks without our prior written consent.

If you provide suggestions or feedback about the Platform, you grant SWPR the right to use that feedback without restriction or compensation for any purpose, including improving or promoting the Platform.

8. SELLER OBLIGATIONS

Sellers on SWPR agree to the following obligations:

• Authenticity: List only authentic, genuine items. Counterfeit or replica goods are strictly prohibited and will result in immediate account suspension.

• Accurate Listings: Provide accurate, complete, and honest descriptions, images, and condition disclosures for all items listed.

• Timely Shipping: Ship orders within the stated timelines communicated at the time of sale.

• Legal Compliance: Comply with UAE Consumer Protection Law, applicable GCC regulations, and all relevant customs and export requirements.

• Refund Policies: Sellers may set their own return and refund policies, provided they comply with applicable consumer protection laws and SWPR's Buyer Protection Policy.

SWPR may remove listings, withhold payouts, or permanently suspend seller accounts for violations of these obligations.

9. MARKETPLACE TRANSACTIONS

SWPR acts as a technology facilitator connecting independent buyers and sellers through live auctions, real-time bidding, and interactive livestream shopping. SWPR does not manufacture, own, store, or inspect any items listed for sale. All transactions are strictly between the buyer and the seller.

Purchase Process: Browse, bid on, or purchase products during live auctions and livestreams. Final purchase prices will be clearly displayed prior to payment confirmation.

Additional Charges: Cross-border orders may be subject to customs duties, import taxes, VAT, or other charges imposed by the destination country. These charges are payable by the buyer upon delivery and are not controlled by SWPR.

Shipping & Delivery: Sellers are responsible for timely shipment in accordance with the details provided at the time of sale. You are responsible for providing a correct and complete shipping address.

Returns & Refunds: Handled in accordance with SWPR's Buyer Protection Policy and the applicable seller's stated refund terms.

10. PAYMENTS & FEES

All payments on SWPR are processed through secure, approved third-party payment providers. By completing a transaction, you agree to the terms and conditions of the applicable payment processor.

SWPR may:

• Charge service or commission fees on transactions, which will be disclosed prior to listing or purchase

• Withhold seller payouts during active dispute investigations

• Issue refunds where determined appropriate under the Buyer Protection Policy

SWPR does not store full payment card details. All financial data is handled by our third-party payment processors in compliance with applicable security standards.

11. BUYER PROTECTION

SWPR may offer Buyer Protection for eligible transactions. Refunds may be granted in the following circumstances:

• An item received is materially not as described in the listing

• An item is verified as counterfeit or inauthentic

• A seller fails to ship the item within the stated or agreed timeframe

All refund determinations are made at SWPR's reasonable discretion following investigation. To initiate a Buyer Protection claim, contact support@swpr.live with your order details.

12. PROHIBITED CONDUCT

The following conduct is strictly prohibited on SWPR:

• Listing, selling, or promoting counterfeit, replica, or illegal goods of any kind

• Infringing any intellectual property, trademark, or copyright rights

• Engaging in fraud, shill bidding, chargeback abuse, or any deceptive practice

• Using the Platform for money laundering or any other unlawful financial purpose

• Harassing, threatening, or abusing other users or SWPR staff

• Attempting to circumvent SWPR's platform, payment systems, or fee structures

• Using automated tools to manipulate auction prices or bidding outcomes

• Using the Platform in any manner that violates applicable UAE, GCC, or international law

Violations may result in immediate account suspension, permanent termination, withholding of funds, and referral to relevant law enforcement authorities.

13. DISPUTES BETWEEN USERS

By using the Platform, you acknowledge that any claims, complaints, or disputes regarding the quality, legality, accuracy, or availability of products or services shall be directed primarily to the Seller. SWPR does not guarantee the existence, quality, legality, or safety of items listed by sellers.

The responsibility for providing warranties for any products offered on the Platform lies solely with the Seller. SWPR provides no warranty, express or implied, regarding the quality, suitability, safety, or legality of seller-listed products.

If a dispute arises between you and another user, we encourage you to resolve it amicably. SWPR may intervene at our sole discretion to assist, but bears no responsibility for any losses, liabilities, or damages arising from user-to-user disputes beyond our Buyer Protection commitment.

14. PRIVACY & DATA PROTECTION

We collect, use, and share your personal information in accordance with our Privacy Policy, which is incorporated into and forms part of this Agreement.

By using SWPR, you consent to our data practices as described in the Privacy Policy. Our processing of your personal data is governed by UAE Federal Decree Law No. 45 of 2021 (Personal Data Protection Law) and applicable GCC data protection regulations.

15. DISCLAIMER OF WARRANTIES

YOU USE SWPR AT YOUR OWN RISK. EXCEPT AS REQUIRED BY APPLICABLE LAW, SWPR PROVIDES THE PLATFORM "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY OF LISTINGS, THE QUALITY OR AUTHENTICITY OF ITEMS, OR THE PERFORMANCE OR CONDUCT OF OUR USERS.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SWPR AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND PARTNERS ARE NOT LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR THESE TERMS. SWPR'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE TRANSACTION AMOUNT IN DISPUTE.

17. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless SWPR and its affiliates, officers, agents, employees, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of or access to the Platform

• Your User Content, listings, or livestream conduct

• Your violation of any provision of these Terms

• Your violation of any rights of a third party, including intellectual property or consumer rights

18. SUSPENSION & TERMINATION

SWPR may, at its sole discretion and without prior notice, suspend or terminate your account or access to the Platform if we believe you have violated these Terms or pose a risk to other users or our operations.

You may discontinue use and request account deletion at any time by emailing support@swpr.live with the subject line "Account Deletion Request." We will process your request within 30 days in accordance with our Privacy Policy and applicable data retention requirements.

In the event of termination, provisions of this Agreement that by their nature should survive termination shall remain in full force and effect.

19. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws of the Emirate of Dubai.

Any disputes, controversies, or claims arising out of or relating to this Agreement, including its validity, interpretation, performance, breach, or termination, shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by mandatory consumer protection laws in your jurisdiction.

20. FORCE MAJEURE

SWPR shall not be liable for any delays, failures in performance, or interruptions of service resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, labor disputes, internet outages, or technical failures of third-party infrastructure.

21. MODIFICATION OF TERMS

We reserve the right to update or modify this Agreement at any time. Where changes are significant or materially affect your rights, we will notify you via email or a prominent notice on the Platform at least 7 days prior to the changes taking effect.

Your continued use of SWPR after such notice constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform.

22. ENTIRE AGREEMENT & SEVERABILITY

This Agreement, along with the Privacy Policy and any Additional Terms or policies referenced herein, forms the entire agreement between you and SWPR regarding the Platform.

If any provision is found unenforceable by a competent court, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
